Additionally, the merged entity must increase U.S. film production spending by at least $300 million annually compared to 2025 levels, totaling at least $1.5 billion over five years.
The settlement also establishes a five-member News Editorial Independence Board to oversee CNN and CBS News within 180 days of closing, with authority to resolve disputes involving alleged reporting bias and compliance with fairness standards. The Paramount studio lot in Los Angeles and Warner Bros. lot in Burbank cannot be sold or closed during the five-year commitment period. Basic cable channels must be offered to distributors separately unless a distributor requests bundling in writing. Material breaches of cable provisions could trigger divestiture of channels including BET, VH1, and Comedy Central.
Paramount CEO David Ellison announced the deal could close within two weeks, describing it as "complete clearance" for the merger. The Writers Guild settled separately, securing a commitment to prohibit writer layoffs at CBS News for five years, a $17.5 million payment to the WGA health fund, and coverage of litigation attorneys' fees. However, the union stated it continues to believe the merger will cause damage to writers and the industry.
The combined company will carry significant debt, with net debt estimated at $77.2 billion at end-2026, declining to $75.1 billion in 2027. Morgan Stanley analysts project the merged entity could achieve over 240 million streaming subscribers by 2030 through the combination of HBO Max and Paramount+, positioning it to rival Disney and Amazon for second or third place in premium streaming behind Netflix. Insiders at both companies expect multiple rounds of layoffs in coming months as redundant functions consolidate, though Ellison affirmed the company will remain headquartered in California.
