Putin authorizes UniCredit to reorganize and sell Russian bank
Russian President Vladimir Putin authorized UniCredit to reorganize and sell its Russian bank on October 5, 2026, removing legal obstacles that had required presidential approval since 2022. The Italian bank will retain a company handling international euro and dollar payments for non-sanctioned clients while selling the remaining business to a UAE-based investor, with an estimated loss of €3–3.3 billion.

Russian President Vladimir Putin signed a decree on October 5, 2026, authorizing Italy's UniCredit to reorganize and sell its Russian banking subsidiary, AO UniCredit Bank. The decree eliminates the requirement for additional government approval, which had been mandatory since 2022 for transactions involving systemically important banks.
Under the authorization, UniCredit will split its Russian operations into two entities. A newly created company focused on international payments in euros and dollars for non-sanctioned corporate clients will remain under UniCredit ownership. The remaining business—the bulk of retail and traditional corporate banking operations—will be sold to an unnamed private investor from the United Arab Emirates, with whom UniCredit reached a preliminary agreement in May 2026.
The decree removes legal barriers that previously blocked UniCredit's exit from Russia. UniCredit has faced mounting pressure from the European Central Bank to wind down its Russian business following the 2022 invasion of Ukraine. The bank halted acceptance of new corporate clients in 2025 as part of its gradual withdrawal. The reorganization and sale are expected to result in financial losses of approximately €3–3.3 billion for UniCredit. The company indicated it intends to complete all asset transfer procedures by the first half of 2027.
UniCredit is one of two remaining Western banks on Russia's list of systemically important financial institutions; the other is Austria's Raiffeisen Bank. Both have continued operations in Russia despite international sanctions, citing the legal impossibility of exit without Kremlin approval. Putin's decree now enables UniCredit to proceed with its previously announced reorganization plan.
Why This Matters
UniCredit's exit removes one of two major Western banks from Russia's systemically important financial institutions list, potentially reducing Western financial exposure in Russia and fulfilling European Central Bank directives for wind-down of Russian operations. The transaction unblocks a €3–3.3 billion loss and enables completion by mid-2027, affecting UniCredit's capital structure, investor returns, and regulatory standing in the EU. The decree also sets precedent for whether the Kremlin will permit similar exits by other foreign financial institutions operating under sanctions compliance.
