Dangote Petroleum Refinery and Petrochemicals has raised $2.5 billion through a private equity placement oversubscribed 3.7 times, described as Africa's largest publicly disclosed primary equity private placement. Quick Facts
- Completed $2.5 billion private equity placement
- Issuance and allotment of new equity
- First external capital raise beyond legacy shareholders
- Placement achieved 3.7 times subscription relative to initial offer size
- Planned expansion of refining capacity

Dangote Petroleum Refinery and Petrochemicals FZE announced on July 23, 2026, the successful completion of a $2.5 billion private equity placement, marking what the company describes as Africa's largest publicly disclosed primary equity private placement by value. The offering achieved 3.7 times subscription relative to the initial offer size, reflecting strong institutional demand.
The placement attracted a diverse group of international and African institutional investors, sovereign-related investment vehicles, and development finance institutions. Named investors include Africa Finance Corporation (AFC) and India Infra Buildco, an investment vehicle facilitated by the African Export-Import Bank (Afreximbank). The transaction represents the refinery's first capital raise involving external investors beyond its legacy shareholder base, which previously included only the Nigerian state-owned oil corporation NNPCL, holding approximately 7.2 percent.
Aliko Dangote, founder and chairman of the refinery, characterized the fundraising as a strategic step to broaden the company's shareholder base and raise capital to complement internal cash flows and external funding. The proceeds will support the ongoing expansion of the refinery and petrochemical complex, strengthen the enterprise's capital structure, and provide additional financial flexibility for future growth initiatives. The refinery currently operates at 650,000 barrels per day and is Africa's largest refinery by capacity.
David Bird, managing director and CEO of Dangote Refinery, attributed the strong investor demand to confidence in the company's operational excellence, execution capacity, and leadership. The company plans to expand its Nigerian refining capacity to 1.4 million barrels per day and construct a 700,000-barrel-per-day refinery in Lamu, Kenya, as part of its East African expansion strategy.
The private placement precedes a planned initial public offering announced for later in 2026. According to statements from company leadership, the investment reinforces Dangote's commitment to expanding Africa's domestic refining capacity, reducing the continent's reliance on imported refined products—currently over 70 percent of African fuel consumption—and strengthening regional energy security.
Why This Matters
Dangote Refinery's $2.5 billion capital raise introduces external institutional and sovereign investors into Africa's largest refinery by capacity (650,000 bpd), broadening ownership beyond the Nigerian state while funding expansion to 1.4 million bpd domestically and 700,000 bpd in Kenya. The placement precedes a planned 2026 IPO and directly addresses Africa's dependence on imported refined products (over 70% of fuel consumption), with measurable effects on regional refining capacity, supply chain resilience, and energy infrastructure financing patterns across the continent.
